Mr. Greenberg represents clients in public and private transactions, including mergers, sales and acquisitions of private equity and venture capital portfolio companies and corporate subsidiaries and divisions, and asset sales and acquisitions in connection with bankruptcy proceedings.
He counsels clients in public and private debt and equity securities offerings, exchange offers, consent solicitations and recapitalizations.
He also counsels boards of directors and special committees on fiduciary duties and corporate governance matters related to Delaware corporations, limited partnerships and limited liability companies, including in connection with potential merger and financing transactions and conflict of interest situations. Mr. Greenberg’s Delaware law practice includes rendering legal opinions with respect to issues of Delaware law.
Mr. Greenberg has significant experience with businesses in several industry sectors, including technology, health care and life sciences, consumer brands, gaming, industrial and distribution. He has represented companies from early stage and emerging growth to large public companies in structuring, formation, organization and financing their businesses. He also counsels public companies in ongoing reporting and compliance matters.
Mr. Greenberg is dedicated to bar and community activities and was president of the Delaware State Bar Association in 2010-11. He also is co-chair of the DSBA’s Community Service Committee.
Mr. Greenberg joined Pepper in 2008 from Connolly Bove Lodge & Hutz LLP in Wilmington, where he was a partner. He started his legal career at Skadden, Arps, Slate, Meagher & Flom LLP.
The firm also is experienced in advising corporations, boards of directors, board committees, individual directors, corporate officers and directors about corporate governance issues and related matters. In many instances, the group calls upon the members of other practice groups within the firm such as tax, real estate, labor, and employee benefits. The group also works closely with the intellectual property and antitrust practice groups in advising clients with respect to licensing and other transactions.
We seek to build long-term relationships with our clients and, to that end, we are dedicated to helping our clients achieve their goals without burdening them with undue expense, by building effective transaction teams which consist of Pepper attorneys and representatives of the client (including inside counsel).
Our firm has grown from a two-person law office formed in Philadelphia to a large, sophisticated law firm with a national and international practice. While much about Pepper is new and different from its beginnings, we retain traditional values passed down through the decades: respect for the rule of law, pride in an excellent work product and commitment to the client’s cause.
Today, Pepper Hamilton is a diverse firm of men and women from a broad spectrum of backgrounds, united in these values.
