Matthew M. Greenberg is a partner and chair of the Corporate and Securities Practice Group of Pepper Hamilton LLP, resident in the Wilmington office. He also is a member of the firm’s Executive Committee. Mr. Greenberg focuses his practice on mergers and acquisitions, private equity, venture capital, corporate finance and securities, technology law, and Delaware corporate and alternative entity law.

Mr. Greenberg represents clients in public and private transactions, including mergers, sales and acquisitions of private equity and venture capital portfolio companies and corporate subsidiaries and divisions, and asset sales and acquisitions in connection with bankruptcy proceedings.

He counsels clients in public and private debt and equity securities offerings, exchange offers, consent solicitations and recapitalizations.

He also counsels boards of directors and special committees on fiduciary duties and corporate governance matters related to Delaware corporations, limited partnerships and limited liability companies, including in connection with potential merger and financing transactions and conflict of interest situations. Mr. Greenberg’s Delaware law practice includes rendering legal opinions with respect to issues of Delaware law.

Mr. Greenberg has significant experience with businesses in several industry sectors, including technology, health care and life sciences, consumer brands, gaming, industrial and distribution. He has represented companies from early stage and emerging growth to large public companies in structuring, formation, organization and financing their businesses. He also counsels public companies in ongoing reporting and compliance matters.

Mr. Greenberg is dedicated to bar and community activities and was president of the Delaware State Bar Association in 2010-11. He also is co-chair of the DSBA’s Community Service Committee.

Mr. Greenberg joined Pepper in 2008 from Connolly Bove Lodge & Hutz LLP in Wilmington, where he was a partner. He started his legal career at Skadden, Arps, Slate, Meagher & Flom LLP.
